These Terms and Conditions govern the services provided by Clem Graphic & Web (referred to as “Us,” “We,” or “Clem Graphic & Web”) to clients (referred to as “You,” “Client,” “Customer,” or “User”). By engaging our services, you agree to these terms.
1.1 “Services” include graphic design, content writing and editing, branding, digital marketing, web design, hosting, domain registration, and web audits.
1.2 “Free Hosting” refers to hosting services offered without charge as part of a package or promotion.
1.3 “Free Domain” refers to domains provided at no cost as part of a promotion.
1.4 “Third-party Services” refers to integrations, tools, or software provided by external providers, which may incur additional fees.
2.1 By engaging our services, you confirm acceptance of these Terms and Conditions.
2.2 These terms comply with South African Consumer Protection and Electronic Communications laws.
2.3 Clem Graphic & Web reserves the right to update these terms at any time. Updates will be communicated via email and on our website.
3.1 Deposits:
- A 50% deposit is required before work commences.
- The remaining 50% is due upon project completion.
3.2 Hosting and Domain Payments:
- Monthly hosting fees are due on or before the 1st of each month.
- Invoices will be sent from the 25th of the preceding month.
- Accounts unpaid by the 2nd of the month may be suspended.
- Free domains must be renewed by the Client. Failure to renew will result in charges for domain registration and hosting.
3.3 Third-party Costs:
- Clients are responsible for paying fees associated with any required third-party services or integrations.
4.1 Clem Graphic & Web commits to delivering high-quality services within agreed timelines.
4.2 Delays caused by the Client (e.g., late approvals, incomplete information) may impact delivery schedules.
5.1 Graphic design includes the design and layout of marketing materials and documents such as reports, proposals, brochures, and other related materials.
5.2 Revisions:
- Projects include up to 10 revisions.
- Additional revisions will incur charges based on standard hourly rates.
5.3 Portfolio Rights:
- Clem Graphic & Web may showcase completed designs on its website or portfolio for promotional purposes.
- If you wish to have your design removed, please contact us at hello@clemgraphicandweb.co.za.
6.1 Content writing and editing services incur additional charges but are available as part of design and branding projects.
6.2 Clients must provide accurate and complete information to ensure high-quality results.
7.1 Hosting services must be paid monthly as specified under 3.2 Hosting Payments.
7.2 Maintenance packages, including updates, backups, and technical support, are detailed in individual agreements.
7.3 Failure to make hosting payments will result in service suspension.
7.4 Web Audits:
- Web audits are included in hosting packages or can be subscribed to separately.
- One-off web audits are available upon request and will be charged accordingly.
8.1 Ownership of all work, including designs and content, remains with Clem Graphic & Web until full payment is received.
8.2 Upon full payment, Clem Graphic & Web grants the Client a non-exclusive, non-transferable license to use the delivered work.
8.3 Third-party integrations, software, or tools remain the property of their original owners and are subject to their respective terms.
9.1 Clem Graphic & Web is not liable for losses, damages, or delays caused by third-party providers or services.
9.2 Clem Graphic & Web does not guarantee the performance of third-party integrations or software.
9.3 Liability is limited to the total fees paid for the project.
10.1 Refunds are not provided for completed work or services already rendered.
10.2 If a project is canceled before completion, Clem Graphic & Web reserves the right to retain the deposit and charge for any completed work.
11.1 In the event of a dispute, both parties agree to attempt to resolve the matter amicably through written communication.
11.2 If an agreement cannot be reached, disputes will be referred to mediation or arbitration in accordance with South African laws.
These Terms and Conditions are governed by and construed in accordance with the laws of South Africa.
